    Please review these Terms carefully as they serve as an enforceable contract between us and contain important information about your legal rights, remedies, and obligations.

    Twelve is on a mission to improve lives through learning. We are the creator monetization platform where Health, Nutrition and Fitness creators earn directly — combining TikTok-style content discovery with built-in monetization tools. One app. One vertical. Zero ads.

    We enable vetted creators in the Health, Nutrition and Fitness space to build their audience, monetize their expertise, and grow their income — while giving users access to high-quality educational content from trusted professionals.

    These Terms apply to all your activities on the Twelve website (twelve-app.com), the Twelve mobile application (iOS and Android), our APIs, and all related services (collectively, the "Services").

    1. Accounts

    1.1 Account Creation

    You need an account for most activities on our platform, including purchasing content, accessing creator services, or submitting content for publication. When setting up and maintaining your account, you must provide and continue to provide accurate and complete information, including a valid email address and phone number.

    You have complete responsibility for your account and everything that happens on your account, including for any harm or damage caused by someone using your account without your permission. You may not transfer your account to someone else or use someone else's account. You may not share your account login credentials with anyone else.

    You must have reached the age of consent for online services in your country to use Twelve. If you suspect someone else is using your account, let us know immediately by contacting us at support@twelve-app.com.

    In the event of the death of a user, the account of that user will be closed.

    1.2 Creator Accounts

    Twelve operates a curated, vetted creator marketplace. To create and sell on Twelve, you must apply as a Creator and be approved by our team. The application process requires you to provide information about your expertise, social media presence, and areas of specialization within Health, Nutrition, and Fitness.

    Approval is at Twelve's sole discretion. We reserve the right to reject, suspend, or revoke Creator status at any time if we determine that a Creator's content, conduct, or credentials do not meet our quality standards.

    Once approved, Creators complete an onboarding process including setting up their community name, community description, and profile. Creators retain the designation "Creator" (also referred to as "Mentor" or "Expert" within the platform) and may access all monetization tools described in Section 3.

    1.3 Learner Accounts

    Users who sign up to consume content, participate in communities, and engage with Creators are referred to as "Learners" (also referred to as "Mentees" or "Users" within the platform). Learner accounts are free to create and provide access to the video feed, AI-generated quizzes, skill tracking, and leaderboards at no cost.

    2. Content, Services and Features

    2.1 Video Feed and Content Discovery

    Twelve features a TikTok-style vertical video feed where Creators publish educational content in Health, Nutrition, and Fitness. Content is surfaced to Learners through our organic discovery algorithm. Twelve does not run ads within the feed. All content recommendations are based on user interests, engagement patterns, and skill tracking data.

    2.2 AI-Powered Features

    Twelve uses artificial intelligence to enhance the learning experience. By using the Services, you acknowledge and agree that:

    • AI Quizzes: After watching videos, Twelve's AI may generate quiz questions based on the video content. These quizzes are designed to increase retention and track your learning progress. Quiz results contribute to your Skill Level.
    • AI Skills and Levels: Twelve automatically tracks the type of content you consume, your watch time, and your quiz accuracy across four skill categories (Fitness, Nutrition, Mental Wellness, and Health). Your skill level progresses from Newcomer through Beginner, Intermediate, Advanced, to Expert based on hours watched and quiz performance.
    • AI Content Tagging: Uploaded videos are automatically transcribed, tagged with relevant interest categories, and classified using AI. Creators can review and accept or modify AI-generated tags and quizzes before publication.
    • Leaderboards: Twelve displays general and per-skill leaderboards based on watch time and quiz performance. By using the platform, you consent to your username and skill data being visible on public leaderboards.

    2.3 Monetization Tools

    Twelve provides Creators with multiple built-in monetization tools. The following services may be offered by Creators and purchased by Learners:

    • Paid Communities: Creators can create subscription-based communities where members pay a recurring fee to access exclusive content, discussions, and community features.
    • Freelance Services (Marketplace): Creators can list and sell professional services (e.g., custom workout programs, nutrition plans, health consultations) through Twelve's built-in marketplace, similar to a freelancing platform.
    • Paid DMs: Creators may set a price for direct messages, allowing Learners to pay for personalized, one-on-one communication.
    • 1:1 Audio and Video Calls: Creators may offer paid consultation calls, with scheduling and payment handled within the platform.
    • Mini-Courses: Creators may publish short, card-based educational courses for a one-time purchase fee.

    The availability of specific monetization tools may vary over time as Twelve introduces, modifies, or discontinues features.

    2.4 Enrollment and Access

    When you enrol in a course, purchase a service, subscribe to a community, or otherwise pay for content, you receive a licence from Twelve to access that content via the Twelve platform and Services. Content is licensed, and not sold, to you.

    In legal terms, Twelve grants you (as a Learner) a limited, non-exclusive, non-transferable licence to access and view the content for which you have paid all required fees, solely for your personal, non-commercial, educational purposes through the Services. All other uses are expressly prohibited.

    For Community subscriptions, your access continues for as long as your subscription remains active. For one-time purchases (mini-courses, freelance services), we generally grant lifetime access to purchased content, except when we must disable the content for legal or policy reasons.

    3. Fees, Payments and Payouts

    3.1 Twelve's Fee Structure

    Twelve applies a 12% total fee to all revenue-generating transactions on the platform. This fee is structured as follows:

    • 6% is retained from the Creator's base price (deducted from the Creator's earnings).
    • 6% is added on top of the Creator's base price and paid by the Learner (end user).

    This means Creators keep 94% of their listed price, before any applicable app store fees or payment processing fees.

    3.2 Payments by Learners

    You agree to pay the fees for content and services that you purchase, and you authorise us to charge your debit or credit card or process other means of payment for those fees. Twelve works with payment service providers to offer you convenient payment methods and to keep your payment information secure.

    For Community subscriptions, payments are processed through Apple In-App Purchases (iOS) or Google Play Billing (Android). Apple and Google apply their own commission on these transactions (currently up to 30%), which is separate from and in addition to Twelve's fee.

    For Freelance Marketplace services and Custom Offers, payments are processed via Stripe. Twelve collects the full payment centrally and distributes Creator earnings via Stripe Connect (see Section 3.3).

    When you make a purchase, you agree not to use an invalid or unauthorised payment method. If your payment method fails and you still get access to content, you agree to pay us the corresponding fees within 30 days of notification.

    3.3 Creator Payouts

    Creators receive their earnings through Stripe Connect Express. To receive payouts, Creators must complete Stripe Connect onboarding, which includes identity verification as required by applicable financial regulations.

    Payouts are processed automatically on the 1st and 15th of each month. A minimum payout threshold of $10.00 applies. If your balance is below the minimum threshold on a payout date, your balance will carry over to the next payout cycle.

    Twelve does not offer manual withdrawal. All payouts are automated. There are no PayPal or alternative payout methods at this time.

    3.4 Pricing

    Creators set their own prices for services, communities, courses, and other paid offerings. Twelve may run promotions or sales at its discretion. Prices may differ between web and mobile platforms due to app store pricing requirements.

    If you are located in a country where sales tax, goods and services tax, or value added tax applies to consumer sales, we are responsible for collecting and remitting that tax to the proper tax authorities.

    3.5 Refunds

    If the content or service you purchased is not what you were expecting, you can request a refund within 30 days of your purchase. We reserve the right to apply your refund as a refund credit or a refund to your original payment method, at our discretion.

    No refund is due to you after the 30-day guarantee period has passed. However, if content you previously purchased is disabled for legal or policy reasons, you are entitled to a refund beyond the 30-day limit.

    At our discretion, if we believe you are abusing our refund policy, we reserve the right to deny your refund, restrict you from future refunds, ban your account, or restrict all future use of the Services.

    3.6 Freelance Service Orders

    When you purchase a Freelance Marketplace service, the following order lifecycle applies:

    • After payment, you may be asked to submit requirements so the Creator can begin work.
    • The Creator will deliver the work within the agreed timeframe.
    • You have the option to accept the delivery or request a revision (subject to the service's revision policy).
    • If you do not respond within 72 hours of delivery, the order will be automatically marked as completed.
    • After an order is completed, you may leave a review. Reviews must be honest and based on your actual experience.

    4. Content and Behaviour Rules

    You can only use Twelve for lawful purposes. You are responsible for all content and messages that you post on our platform. Your use of the Services and behaviour on our platform must comply with applicable local or national laws or regulations of your country.

    4.1 For Learners

    You may ask questions to Creators, post reviews of content and services, and participate in community discussions. You must not post content that is unlawful, defamatory, harassing, threatening, or infringes the intellectual property rights of others. Reviews must be honest and based on genuine experiences.

    4.2 For Creators

    You may submit content for publication and communicate with Learners who have enrolled in your offerings. You must abide by the law and respect the rights of others. You are solely responsible for the accuracy, quality, and safety of any health, nutrition, or fitness advice, programs, or services you provide through the platform.

    Health and Safety Disclaimer: Twelve is an educational platform, not a medical provider. Creators must not present themselves as licensed medical professionals unless they hold valid credentials. All health-related content should include appropriate disclaimers.

    4.3 Prohibited Conduct

    The following conduct is prohibited on Twelve and may result in account suspension or termination:

    • Posting misleading, fraudulent, or dangerous health advice.
    • Promoting or selling prohibited substances, illegal drugs, or unapproved medical treatments.
    • Harassing, threatening, or abusing other users.
    • Posting sexually explicit, violent, or hateful content.
    • Attempting to circumvent Twelve's payment system to conduct transactions outside the platform.
    • Using bots, scrapers, or automated tools to access or interact with the Services.
    • Creating fake accounts, fake reviews, or artificially inflating engagement metrics.
    • Infringing the intellectual property rights of others, including uploading content you do not have the right to distribute.

    5. Intellectual Property

    5.1 Your Content

    You retain ownership of content you post to our platform, including videos, courses, community posts, and service deliverables. By posting content, you allow Twelve to reuse and share it but you do not lose any ownership rights you may have over your content.

    By submitting or posting content on or through the platform, you grant us a worldwide, non-exclusive, royalty-free licence (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute your content (including your name and image) in any and all media or distribution methods, existing now or later developed.

    You represent and warrant that you have all the rights, power, and authority necessary to authorise us to use any content that you submit. You also agree to all such uses of your content with no compensation paid to you.

    5.2 Twelve's Rights

    All right, title, and interest in and to the Twelve platform and Services, including our website, applications, APIs, databases, algorithms, AI models, and the content our employees or partners submit through our Services (but excluding content provided by Creators and Learners) are and will remain the exclusive property of Twelve and its licensors.

    Our platforms and services are protected by copyright, trademark, and other laws. Nothing gives you a right to use the Twelve name, the twelve-app.com domain, our logos (including the "twe1ve" wordmark and checkmark), or other distinctive brand features without express written permission.

    You may not access, tamper with, or use non-public areas of the platform, attempt to reverse engineer any source code, or access or search the platform by any automated means other than our provided search functionalities.

    6. AI Processing and Data

    6.1 AI Content Processing

    By uploading video content to Twelve, Creators consent to the following automated AI processing:

    • Automatic transcription of video audio using speech-to-text AI.
    • AI-powered tagging and categorisation of content into Twelve's interest taxonomy (currently 37 interest categories across Fitness, Nutrition, Mental Wellness, and Health).
    • AI-generated quiz questions based on video transcripts. Creators may review, accept, modify, or reject AI-generated quizzes before they are published.

    6.2 Skill Tracking Data

    By using Twelve as a Learner, you consent to the collection and processing of your viewing behaviour, quiz responses, and engagement metrics for the purpose of calculating your skill levels, displaying your progress on leaderboards, and personalising your content recommendations.

    This data is used to improve the learning experience and may be aggregated and anonymised for analytics purposes. Twelve will not sell your personal skill tracking data to third parties.

    6.3 Expert Creator Application

    Learners who achieve Expert level (Level 4) in any skill category may become eligible to apply as a Creator. Achieving Expert level does not guarantee Creator approval — all Creator applications are subject to Twelve's vetting process.

    7. Community Subscriptions

    7.1 Subscription Plans

    Creators may offer paid community subscriptions. During your subscription, you get a limited, non-exclusive, non-transferable licence to access the content included in that community. You may not transfer, assign, or share your subscription with anyone else.

    7.2 Billing and Renewal

    Community subscriptions are billed through Apple In-App Purchases or Google Play Billing. Your subscription will automatically renew according to your subscription settings unless you cancel prior to the end of the current billing period. To cancel, manage your subscription through your device's app store settings.

    Apple and Google's respective terms of service apply to all in-app subscription transactions, including their refund policies.

    7.3 Free Trials

    Creators or Twelve may offer free trial periods for community subscriptions. The duration of the free trial will be specified at sign-up. We will charge the subscription fee at the end of the free trial period unless you cancel before then.

    8. Custom Offers

    Creators may send Custom Offers to Learners within chat conversations. A Custom Offer is a personalised service proposal with a specific title, description, price, and delivery time.

    Custom Offers expire if not accepted within the specified timeframe. Once a Learner accepts a Custom Offer and completes payment, a Freelance Service order is created and the order lifecycle described in Section 3.6 applies.

    Creators may withdraw a Custom Offer at any time before it is accepted. Learners may decline any Custom Offer without consequence.

    9. Reviews and Ratings

    After completing a Freelance Service order, Learners may leave a review and rating. Reviews must be honest, relevant, and based on your actual experience with the service.

    Twelve reserves the right to remove reviews that are fraudulent, abusive, irrelevant, or that violate these Terms. Creators may not offer incentives for positive reviews or retaliate against Learners who leave negative reviews.

    10. Disclaimers

    Health Disclaimer: Twelve is an educational and content platform, not a healthcare provider. The content, services, and advice provided by Creators on Twelve are for informational and educational purposes only and do not constitute medical, nutritional, or fitness advice. Always consult a qualified healthcare professional before starting any new diet, exercise program, or health regimen. Twelve is not responsible for any injury, illness, or adverse health outcome resulting from content or services accessed through the platform.

    Platform Disclaimer: The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Services will be uninterrupted, error-free, or that any specific content will be available. We make no guarantees as to the accuracy, completeness, or reliability of any content posted by Creators.

    AI Disclaimer: AI-generated quizzes, tags, and transcriptions are provided for educational and organisational purposes. They may contain errors or inaccuracies. Creators should review all AI-generated content before publication. Twelve is not responsible for any errors in AI-generated content.

    11. Limitation of Liability

    To the maximum extent permitted by applicable law, Twelve, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your access to or use of (or inability to access or use) the Services.

    Twelve's total aggregate liability to you for all claims arising from or relating to these Terms or the Services shall not exceed the greater of (a) the amounts you paid to Twelve in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

    12. Dispute Resolution

    If you have a dispute with Twelve, we encourage you to first contact us at support@twelve-app.com so we can try to resolve the issue informally.

    These Terms are governed by and construed in accordance with the laws of Romania, without regard to conflict of law principles. Any disputes that cannot be resolved informally shall be submitted to the competent courts of Romania.

    13. Termination

    You may terminate your account at any time by contacting us at support@twelve-app.com. Twelve may suspend or terminate your account at any time for any reason, including if we reasonably believe you have violated these Terms.

    Upon termination, your right to use the Services immediately ceases. For Creators, any outstanding balance above the minimum payout threshold will be paid out in the next scheduled payout cycle. Balances below the minimum threshold may be forfeited.

    Sections of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and dispute resolution.

    14. Changes to These Terms

    We may update these Terms from time to time to reflect new or different practices. If we make any material change, we will notify you using prominent means, such as by email notice sent to the email address specified in your account or by posting a notice through our Services. Modifications will become effective on the day they are posted unless stated otherwise.

    Your continued use of our Services after changes become effective means that you accept those changes. Any revised Terms shall supersede all previous Terms.
